On June 4, 2025, Ashima Dayal (Partner, Advertising + Marketing) will co-chair the Practising Law Institute’s “Hot Topics in Advertising Law 2025” day-long conference. As part of the conference, Ashima will lead a session titled “Wait, What Did I Just Sign?”: Understanding Common Provisions in Marketing Services Agreements” and will also speak on two additional sessions: “The Kitchen Sink: Recurring Issues in Advertising Law” and “Ethics for Advertising Lawyers.”

“Wait, What Did I Just Sign?”: Understanding Common Provisions in Marketing Services Agreements

Contracts for marketing services, whether off-the-shelf or bespoke, invariably will have certain common provisions that, optimally, can be negotiated, and, at the very least, need to be understood. In this session, attendees will closely review a handful of critical, non-boilerplate, provisions in marketing services agreements, to understand what those terms can (and cannot) accomplish for each party to the contract and what is “market.” After completing this session, participants will be able to understand, revise and draft the following contractual provisions:

  • AI usage rights in creative services agreements
  • Advertising adjacency restrictions in media placement agreements
  • Influencer obligations
  • Indemnity rights and obligations (risk shift provisions)

The Kitchen Sink: Recurring Issues in Advertising Law

In every advertising lawyer’s practice, there are certain legal issues that crop up regularly. What are recent hot button issues that have been coming up lately, and what approach should be taken to manage them day-to-day? After completing this session, participants will be able to issue spot developing trends concerning:

  • Children’s Online Privacy (COPPA) and advertising to children
  • Loyalty programs
  • Cookies and evolving a dtech issues
  • Generative AI

Ethics for Advertising Lawyers

After completing this session, participants will be able to:

  • Explore best practices for avoiding ethical pitfalls using real-world hypotheticals
  • Learn how to spot ethical issues before they become problems
  • Tailor appropriate communications with adverse parties and identify the ethical nuances between disclosure, omission, and outright deception
  • Understand when they need to seek a conflict waiver from a current or former client
  • Understand when they can use work product created for one client when advising another client (how to charge the second client for that work product)
