Marc Rogers divides his practice between M&A transactions and debt financing transactions. This dual focus helps him provide a full-service corporate perspective to each client based on their unique needs.
From routine operational matters to multimillion-dollar strategic mergers and acquisitions, Marc supports client growth by ensuring the overall success of each transaction. He approaches each client matter with a broad lens, getting to know the client’s objectives, how they run their business operationally, where they want to go strategically and how each transaction fits into their big picture. Marc encourages clients to focus on the issues that really matter and helps them achieve efficient and effective solutions.
Marc has worked with businesses of every size and in every stage of the growth cycle. As a key member of the deal team, he counsels on transaction structuring and drafts and reviews and negotiates principal transaction documents, including purchase and sale agreements, credit and security agreements, and multimember operating agreements.
Before joining Davis+Gilbert, Marc was an associate at Bingham McCutchen in New York, where he represented commercial and private lenders, credit funds, and other alternative financing sources on a wide variety of debt financing transactions. He is actively involved in firm recruiting efforts and mentors summer associates.
Representative Experience
Advised the shareholders of the largest regional distributors of HVAC and refrigeration equipment and engineering solutions in the Northeastern United States. Prepared the company for its sale and subsequent disposition to a global Japanese conglomerate and the largest manufacturer of HVAC equipment.
Counseled a global, independent media agency for iconic worldwide brands on structuring, negotiating and implementing its first, senior-secured credit facility to support the agency's strategic growth.
Represented a leading U.S. developer, manufacturer, distributor and seller of nutritional supplements and wellness products. Completed an amended and restated senior credit facility with a syndicate of financial institutions led by Truist Bank.
Advised the world’s leading provider of prepaid and payment solutions on its senior credit facility with a syndicate of financial institutions led by a multinational investment bank.
Represented a global innovation leader in its strategic investment in a technology-based data and analytics consultancy firm.
