Overview
Jessica Ho’s pragmatic, tailored solutions help clients optimize their organizations and execute successful transactions. She draws on significant experience working on a wide variety of deals to tackle all types of challenges that may arise.
When structuring and documenting transactions for marketing, tech or other industry clients of all sizes and in every stage of development, Jessica focuses on identifying and addressing both business and legal risks. Her ability to analyze and address deal-specific diligence findings, draft and negotiate agreements, and close deals efficiently ensures complex buy-side and sell-side M&A deals are well executed. Jessica also regularly works with clients to structure and negotiate earn-out and buy-out rights and transition services plans.
Lessons learned from prior M&A transactions allow Jessica to provide thoughtful and cost-effective solutions when advising companies, including those with unique capitalization tables or management structures, on more general corporate matters, whether at the formation stage, the financing stage or beyond. She is sensitive to competing stakeholder interests when counseling clients on their day-to-day challenges or their long-term needs.
Jessica’s particular depth of experience with complex organizational structures and transactions plays a valuable role in her practice. Working with companies from germination to post-exit, she tailors her recommendations to their specific needs and drafts airtight documentation for all types of situations.
Before she joined Davis+Gilbert, Jessica worked as a Corporate/M&A associate at Sidley Austin.
Representative Experience
Counseling a web-based, global financial services workshop supporting the financial services industry by bridging the gap between citizen data scientists and domain experts on all capital transactions and intellectual property, digital, corporate and employment matters.
Represented a digital consulting company in the carve-out sale of its Compliance Management Reporting System (CMRS) platform and its related business and clients. Counseling included a license-back agreement between the buyer and our client to add efficiency to their future business relationship.
- Advised an online travel shopping company in the divestiture of a luxury vacation B2B wholesaler to a private equity firm.
Acted for the owner of a national restaurant group in its restructure and sale to management.
Counseling a commercial real estate intelligence and events business in all corporate matters: acquisition and divestiture of businesses, equity fundraising, employee terminations, employee and consultant retention, equity compensation and more.
- Represented a company in the community solar services space in a convertible note investment and subsequent merger with another regional community solar services company.
- Represented an international advertising agency in the acquisition of a well-established clinical research and development consulting firm involved in assisting with various aspects of trial patient recruitment and management.
