Overview
AliceRose Sherman works with companies across industries and senior executives on a wide range of executive compensation and employee benefits matters, with a focus on transactions and day-to-day advisory work. She helps clients navigate the compensation and benefits aspects of mergers and acquisitions, from diligence through post-closing and integration, as well as related ongoing matters, aligning compensation structures with business objectives and market practice.
AliceRose regularly advises employers on the design and negotiation of compensation and incentive arrangements, including equity and cash-based plans, employment and consulting agreements, and separation and change-in-control provisions. She also assists clients with the drafting and maintenance of ERISA and other tax-qualified benefit plans. Known for her listen-first approach, AliceRose prioritizes understanding each client’s goals and maintaining clear, consistent communication to develop tailored programs that support retention and growth while addressing applicable tax and regulatory requirements.
She brings a practical understanding of evolving market terms and serves as a reliable, day-to-day resource, offering straightforward, business-focused guidance. Prior to joining Davis+Gilbert, AliceRose was an associate at Freshfields and Morrison Cohen, where she advised on executive compensation in complex corporate transactions and ongoing advisory matters.
