When a hot new restaurant or boutique hotel opening is on the line, our real estate team structures and negotiates complex leases and build-out contracts, thus ensuring that clients secure optimal site control and favorable operating economics. Our veteran corporate + hospitality team brings its extensive experience to financing an independent restaurant or negotiating a management agreement to bring culinary talent to hotels, real estate developments, or cultural institutions. And because hospitality is a people business, our labor + employment group counsels on wage-and-hour compliance, discrimination and harassment prevention, organized labor, and internal investigations — both proactively designing policies and vigorously defending high-stakes disputes.

Representative Experience

Restaurants and Hotels

  • Represent an event marketing and food festival company from inception, providing upscale interpretation of iconic menu items of national chain restaurants.
  • Represented a Michelin-starred chef/proprietor in the development of a restaurant at Rockefeller Center, partnering with a major American real estate company to bring a high-profile dining concept to life.
  • Advised the same Michelin-starred chef/proprietor on the opening and operation of a restaurant within a museum of contemporary art, structuring agreements that aligned with the institution's cultural mission.
  • Instrumental in drafting and negotiating management and operating agreements for restaurant operators and celebrity chefs, fitness centers, food courts, and retail spaces within hotels; also crafted licensing agreements, joint-venture agreements and development plans for mixed-use hospitality properties combining hotel, retail and ancillary services.
  • Represented celebrity chef in top-rated New York City fine-dining steak house.
  • Represented restaurant group and celebrity founder/owner in the launch of a restaurant venture with a major luxury hotel chain in Mexico.
  • Counsel to a group of investors in negotiating a joint venture agreement for an entity to become the licensee for a new location of a leading New York restaurant chain. Also negotiated a license agreement with the owners of the restaurant group for the operation of the restaurant.

Corporate Transactions and Financings

  • Served as counsel to a leading hospitality SaaS management enterprise from its inception through its sale to a multinational financial services company, guiding the client through venture capital raises, strategic acquisitions, and the final sale approval.
  • Advised an online travel shopping company in the divestiture of a luxury vacation B2B wholesaler to a private equity firm.
  • Counsel to a high-end restaurant group in a complex debt restructuring, private equity financing, joint venture and real estate development project relating to existing restaurant operations and new developments.

Labor and Employment

  • Successfully represented a hospitality client in connection with a union campaign and then secured a highly favorable verdict on behalf of this client in the ensuing related litigation following an intense trial lasting 11 days.
  • Counseling employers on wage-hour compliance, non-compete strategy and union relations; thought leadership at the National HR in Hospitality Conference (2022–24) and Cornell’s CIHLER roundtable.
  • Achieved a highly favorable outcome for a hospitality client facing a series of unfair labor practice charges before the National Labor Relations Board; the decision remains cited as a precedent in NLRB rulings.
  • Represented a private-equity real estate firm as labor counsel in the acquisition of one of the largest U.S. rental properties and in the sales of midtown Manhattan hotels — handling labor-related diligence, collective bargaining considerations and post-closing employment issues.
  • Counseled a hotel owner through the termination of its management company and the direct hiring of food & beverage employees — advising on best practices for hiring, industry-specific legal issues and mitigating employment risk related to prior management arrangements.
  • Represent a high-profile event space in all aspects of employment law, including issues related to hosting Fashion Week and implementation of gender-neutral dress code for event staff.
  • Represented one of the largest networks of travel agents in North America, in wage and hour violations cases in several states. Secured favorable settlement terms including dismissal of the lawsuits.

Intellectual Property and Technology Licensing

  • Served as lead counsel to Resy, a digital restaurant reservation and management platform, from its founding through its acquisition by American Express — enabling Resy to partner with Amex and expand to over 4,000 restaurants in 154 U.S. cities and 10 countries, seating more than 2.6 million diners weekly.

Litigation and Dispute Resolution

  • Representing hotels, restaurants and service providers in contract, IP, employment and real-estate disputes — leveraging nationwide trial and appellate experience to secure favorable outcomes.
