Tiffany Pollard handles complex corporate transactions that help public and private companies transform their businesses and reach their goals. A solutions-driven lawyer, she counsels clients through the intricacies of new ventures, mergers, acquisitions, investments, strategic partnerships and divestitures.
Media, technology and other clients trust Tiffany’s experienced counsel and insight about complex issues and critical deal decisions. She helps them navigate key risks, solve challenges creatively, and coordinate with key constituencies. Her proactive counsel keeps clients fully informed and deals moving forward.
Throughout her career, Tiffany has built a reputation for understanding the driving factors behind a deal. Her thoughtful, practical advice helps clients overcome nuanced challenges that can arise outside of the four corners of an agreement. She deftly anticipates and manages challenging interpersonal dynamics that might otherwise stall a transaction.
Before joining Davis+Gilbert, Tiffany was Head of Domestic and International Mergers and Acquisitions at Paramount Global (formerly Viacom/CBS). There, she focused on helping business units analyze, structure, diligence, negotiate and document M&A and other strategic transactions. Earlier in her career, Tiffany worked as a Corporate/M&A partner at Fried Frank.
Combining an in-house perspective with deep legal knowledge, she strives to understand the economics driving each transaction and deliver not only a list of risks and issues, but also thoughtful and practical recommendations on how to navigate them.
Representative Experience
- Counseled a leading digital media agency in the acqui-hire of its employees and sale of substantially all of its assets to a company that is building next generation cloud-based infrastructure for the digital advertising marketplace.
- Guided a digital design, branding and strategy agency and its founder in the sale of its business to a private equity firm.
- Acted on behalf of the president of an Australian luxury fashion brand during the company’s sale, specifically determining equity and employment arrangements.
- Counseled the founders of an integrated strategy and marketing agency in connection with its initial preferred stock financing round from a mid-sized private equity firm.
- Counseled an award winning advertising agency in connection with its landmark sale and merger with another leading agency, forming one of the largest independent agencies in the United States.
- Represented a leading edge computing provider for the retail and hospitality industry in the sale of its business to a leading provider of managed network security services.
