Corporate + Transactions Practice Group partner Joe DiMiceli focuses on mergers and acquisitions, strategic investments, incentive compensation and employment agreements. He advises businesses throughout their life cycle on all types of corporate matters, representing companies in the advertising and communications sectors, and private businesses in a wide range of industries.
A self-avowed numbers guy, Joe understands the math behind financial terms and how deal points can impact them. This limits ramp-up time and ensures clients are well protected in the future. Whether structuring a sale, acquisition, minority interest, earn-out or put/call arrangement or handling a licensing deal, Joe brings clarity, calm, patience and discretion. He sees what lies ahead and helps clients plan beyond today, with strategies to leverage opportunities and avoid potential pitfalls.
Listening to his clients’ ideas, issues and deal goals, he devises a strategy that prevents unnecessary conflict, accomplishes the clients’ objectives and contains costs. Beyond the deal, Joe structures, drafts and negotiates employment agreements, complex compensation arrangements, restrictive covenants and savvy executive exit transactions, as well as LLC, stockholder and investor rights agreements.
Counseled a global marketing and communications holding company through its acquisition of a Dallas-based management and technology consulting firm.
Directed the management team in its buy-out of a specialized management consultancy for advertising, marketing and data analytics businesses from an investment banking leader.
Acted as counsel to members of the management of an event planning agency in a management buy-out from a worldwide mass media corporation.
- Steered the owners of one of the largest independently owned, entertainment public relations and marketing services firms in its sale to an entertainment marketing and production company.
Counseled a manufacturer of fashion eyewear and sunglasses through the acquisition of an eyewear brand and related worldwide trademark portfolio, and led the negotiation of outside equity capital to fund the acquisition.
Acted as deal counsel to the lead French counsel and as local counsel in completing an international buyer's acquisition of a portfolio of perfume brands from a niche designer.
