Davis+Gilbert LLP is pleased to announce the election of Jonathan L. Sagot to the Partnership and Massimo Giugliano and Amanda R. Kinney to Counsel, effective January 2, 2018.

Jonathan L. Sagot, Partner, is a member of the firm’s Corporate + Transactions Practice Group. Mr. Sagot is involved in all aspects of the firm’s corporate practice, including mergers and acquisitions, joint ventures, investments, financings and general commercial matters, with a focus on emerging growth companies. He has extensive experience representing buyers and sellers in negotiating and executing private M&A transactions in a variety of industries, particularly the advertising, marketing and communications sectors. In the emerging company space, he regularly represents founders, high-growth companies and investors seeking to finance these businesses, and counsels emerging company clients through all stages of growth, beginning at formation and continuing throughout their funding lifecycle. Mr. Sagot’s recent representations include Operam, a media technology company, in its Series A financing and Diageo in its investments in several emerging U.S. distilleries. He received his J.D., magna cum laude, Order of the Coif, from New York University School of Law, and his B.S. from Pennsylvania State University.
Massimo Giugliano, Counsel, is a member of the firm’s Insolvency + Finance Practice Group. He has a multidisciplinary practice spanning transactional, bankruptcy and litigation, and advises financial institutions and service oriented businesses on a wide range of matters, including commercial finance agreements, compliance issues, creditors’ rights under the Bankruptcy Code and UCC, and commercial litigation. Mr. Giugliano’s recent representations include assisting several advertising agencies navigate through the bankruptcy of a third-party service provider, advising a financial institution on corporate and regulatory matters concerning marketplace lending, settling preference and avoidance claims and defending fraud and repurchase claims related to the issuance of residential mortgage-backed securities (RMBS). Mr. Giugliano received his LL.M. and J.D., cum laude, from St. John’s University School of Law, and his B.S. from Fairfield University.
Amanda R. Kinney, Counsel, is a member of the firm’s Real Estate Practice Group. Ms. Kinney has extensive experience in the representation of commercial landlords and tenants in both retail and office leasing matters. She also has experience representing developers in the acquisition and development of commercial property, as well as institutional lenders, investment banks and private equity companies in real estate finance transactions. A large portion of Ms. Kinney’s practice focuses on advising and negotiating on behalf of some of the nation’s leading retailers, and her recent representations include assisting NIKE, Inc. in securing a 69,000-square-foot retail lease in New York City and Pret A Manger in its store leases in New York City, Boston, Chicago and Washington, D.C. Ms. Kinney received her J.D., magna cum laude, from St. John’s University School of Law, and her B.A., summa cum laude, from St. John’s University.
