Joel Melendez addresses challenges that arise in business disputes and bankruptcy-related litigation as well as debt financings and other corporate matters. His strategic and fact-based approach helps major international banks, lenders and corporate debtors navigate intricate transactions, complex structured finance products, bankruptcies and commercial disputes.
An experienced commercial and bankruptcy litigator, Joel uses his deep understanding and facility with complex transaction structures to identify strategic advantages and implement creative, practical solutions. Clients benefit from his approach in bankruptcy and structured finance disputes, including matters relating to alleged fraudulent transfers, breach of contract, fiduciary and other duties, and sovereign immunity.
Joel is experienced in all phases of creditor activity, from origination to enforcement, and leverages his broad experience at all stages to identify the key attributes that make each client’s goals and needs unique. He is particularly adept at helping lenders and borrowers address problems that arise in intricate transactions and fast-paced restructurings involving asset-based, cash flow, acquisition and warehouse lending deals, and other corporate matters. Joel guides clients through the most challenging aspects of transactions with ideas designed to match their goals and desired results.
Before Davis+Gilbert, Joel gained valuable experience in complex business litigation, mergers and acquisitions, restructurings, and debt financings as an associate at MoloLamken, Kirkland & Ellis and White & Case.
Representative Experience
Represented a national bank in connection with a senior secured asset-based facility extended to a pharmaceutical company focused on the acquisition, reformulation, and marketing of FDA-approved prescription products.
Defended a European financial institution against fraudulent transfer claims related to the buyouts of Constellation Healthcare and of The Jones Group (renamed Nine West).
Defending an international financial institution against fraudulent transfer claims asserted in the Tribune bankruptcy related to leverage buyout transactions.
Advised a multinational marketer and distributor of luxury fragrance and skincare brands in connection with a senior secured asset-based facility and other corporate matters.
Advising a prominent French space sharing company in chapter 11 bankruptcy of Knotel Inc. Preserved the client’s rights under pre-bankruptcy subscription agreements and negotiated favorable resolutions concerning the sale of the client’s equity.
