"Preparing for Sale – It's Never too Early!"

October 24, 2016

Davis & Gilbert is a proud sponsor of the Holmes Report's Independent PR Firm Forum taking place at The St. Regis Bal Harbour Resort in Miami Beach, Fla. on October 24, 2016.

Brad J. Schwartzberg, co-chair of the Corporate Practice Group and Michael C. Lasky, Public Relations Law chair and Litigation Practice Group co-chair, will moderate a panel session titled "Preparing for Sale – It's Never too Early!" featuring:

  • John Doolittle, President and CFO, DAS Group of Companies at Omnicom Group
  • Michael Kempner, Founder, President and CEO, MWWPR
  • Heather Kernahan, President, North America, Hotwire PR
  • Brett Marchand, CEO, Cossette Communications and Vision 7 International
  • Philip A. Nardone Jr., President and CEO, PAN Communications

The session will be kicked off by announcing the results of a research study jointly conducted by the Holmes Report and Davis & Gilbert. The study, which focuses primarily on independent PR firms' mergers and acquisitions activity, provides data not only on how firms are approaching the current M&A market but also on how they handle various internal processes and decisions regarding labor and employment issues, compensation, and use of financial and legal advisers.

Session Overview
For most owners of PR firms, their ownership interest represents a significant percentage of their personal net worth. This asset requires time, attention and care in order to maximize its value. Simply doing good work is just not enough. With an ever increasing appetite from private equity shops, as well as mid-sized and larger independents looking to expand internationally through strategic merger and acquisitions, it is important for owners of PR firms to understand what they should (or in some circumstances "should not") be doing to best position their firms to capitalize on an acquisition opportunity.

Gaining a better understanding and taking steps necessary to increase your enterprise value not only makes your firm a more attractive target, but it will likely result in more efficient operations and increased profitability even in the absence of a sale. The key is being armed with the proper information so as to allow owners to make smart business decisions about their company going forward. If you are a business owner and have any thought of selling your business - whether sometime soon or off in the future, the more you plan, the better the outcome. Many successful business owners are experts at running their businesses, but do not take into consideration all the elements that go into building a properly structured company that is most suitable for sale.

Attendees will learn why, when and how one should prepare for the sale of a business and what to expect as part of the sale process. Among other topics, this program will cover:

  • What considerations go into deciding when it is the right time to sell
  • Ways to best position a company for sale to enhance enterprise value and purchase price
  • How to anticipate and avoid deal breaking issues with a buyer
  • Ways to incentivize and retain second tier management
  • Managing risks associated with sale
