Financings and Restructurings

Davis & Gilbert attorneys have broad experience in debt and equity financings and restructurings. In addition to representing many advertising agencies and marketing communications firms as borrowers, we have represented emerging, middle market and large borrowers, from energy service providers to global credit card issuers in credit facilities ranging from $1 million to $1 billion. Our experience representing lenders and investors includes representation of foreign investors, private equity funds and other providers of capital.

In addition to our experience negotiating and documenting initial transaction terms on the "front end," we frequently assist investors in restructuring portfolios and recapitalizing portfolio companies in order to meet their business and financial goals. We also act for borrowers in restructuring their debt and capital structures to maximize loan values. In any restructuring, we bring to bear our experience in resolving the complex relationships and competing interests of the constituent parties to the workout.

We also have uniquely specialized experience representing issuers in receivables-backed structured financings.   We have used this expertise to help our clients obtain additional liquidity in securitized financings.

The following are just some of the examples of the financing and restructuring transactions typically handled by Davis & Gilbert's Corporate group:

  • Borrower's counsel for asset-backed revolving credit and term loan facilities
  • Borrower's counsel in the restructure of senior secured debt and "earn-out" obligations owed to sellers of borrower's component companies
  • Debt for equity conversions and recapitalizations
  • Investor's counsel for private placement of convertible debentures
  • Borrower's counsel for "synthetic lease" transaction
  • Issuer's counsel for public offering of unsecured notes
  • Originator's and issuer's counsel in connection with securitized financing, including preparation of "true sale" and "bankruptcy remote" legal opinions.
