Executive Compensation

Attracting, retaining and providing incentives to key employees are extremely important issues for both companies and individuals. We are expert in all types of executive compensation arrangements, including stock options, restricted stock, stock purchase, phantom equity, and non-qualified deferred compensation. We analyze a company's needs, recommend a form of executive compensation and draft relevant documents. The complexity of our plans cover a broad range, from the simplest stock option plans to complex omnibus equity plans. Our knowledge of tax law, federal securities law, blue-sky laws and accounting rules, enables us to advise our clients on all issues pertaining to executive compensation. As several of our major clients are headquartered overseas, we also have significant experience with international equity and compensation arrangements.

When representing individuals, we are able to approximate the value of an executive's current compensation package, compare it against our knowledge of the market, and assist with negotiating a fair compensation package from the executive's prospective employer. We also review stock option and other equity compensation agreements to determine whether they contain all features that could be beneficial to an executive.
