Lewis A. Rubin is the firm’s Chief Operating Partner and a partner in the Corporate practice group, having previously served as Chair of the department. Mr. Rubin has broad experience in the areas of mergers and acquisitions, shareholder and partnership relationships, employment arrangements, financings, licensing transactions and other general commercial matters.

Mr. Rubin regularly oversees sophisticated mergers and acquisitions, joint ventures and financing transactions for a diverse range of businesses, including multinational marketing communications companies, fashion and apparel companies, restaurants and professional baseball teams. He also frequently serves in the role of general outside counsel for these clients. Mr. Rubin represents business owners and executives in connection with the formation, management and sale of their businesses, including with regard to the structuring and negotiation of limited liability company operating agreements, shareholder arrangements, incentive compensation plans, employment agreements and restrictive covenants. Mr. Rubin is often called upon to advise business owners with respect to sensitive matters involving business succession issues, family businesses and shareholder/partner disputes, utilizing, where appropriate, a dialogue-based approach for the efficient and effective resolution of disputes and complex negotiations.

Prior to joining Davis & Gilbert, Mr. Rubin was a corporate attorney at Simpson Thacher & Bartlett LLP and served as the Publisher of The Connecticut Law Tribune.

  • Represented Publicis Groupe and Zenith Optimedia in the acquisition of Engauge Marketing, a digital and social marketing agency.
  • Represented Alexis Bittar, a jewelry designer, manufacturer and retailer, in connection with a private equity investment by TSG Consumer.
  • Represented John Barrett Salon, a hair salon and hair care products company, in connection with an investment by a private equity group.
  • Represented Trilogy Systems, a technology and equipment leasing company, in its sale to Kingsbridge Holdings.
  • Represented Publicis Groupe in its equity investment in Jana Mobile, a mobile technology company.
  • Represented Dessy Creations, a dress designer and apparel manufacturer, in its acquisition of the “After Six” trademark and related intellectual property assets.
  • Represented minor league baseball team The Greenville Drive in connection with various financing, licensing and sponsorship transactions.
  • Represented the management of MRY, a social marketing agency, in connection with a private equity investment and subsequent sale of MRY to LBi.
  • Represented Reader’s Digest Association in its acquisition of Haven Home Media, an aggregator of do-it-yourself and home improvement websites.
  • Represented il Buco restaurant in connection with a private equity investment and various business expansions.
  • Represented Publicis Groupe in its acquisition of Big Fuel Communications, a digital marketing agency.
  • Represented Lily Pond Capital Management, a hedge fund manager, in structuring incentive compensation plans and various strategic joint ventures.
  • Represented Elias Arts, a music production and sonification company, in connection with a private equity investment and various strategic joint ventures.
