Joseph A. DiMiceli is a partner in the Corporate Practice Group of Davis & Gilbert. He is involved in all aspects of the firm's corporate practice. A significant portion of his practice is devoted to mergers and acquisitions, representing both buyers and sellers in transactions that involve the sale of an entire business, or the sale of a controlling or minority interest, with extensive experience in transactions structured with earn-outs or put/call arrangements.

Mr. DiMiceli advises businesses throughout their life cycle from initial formation through capital raising and financing activities to planning for an eventual exit transaction, as well as providing day-to-day counsel. His practice also focuses on representing licensees in merchandising and trademark licensing activities.

Mr. DiMiceli also regularly focuses on advising clients on the structuring, drafting and negotiation of employment agreements; complex compensation arrangements, restrictive covenant agreements, limited liability company agreements (including complex profit and distribution “waterfall” allocation provisions); stockholder and other investor rights agreements; trademark license agreements and product distribution agreements.

  • Represented a major advertising holding company in acquiring a mobile marketing and advertising company.
  • Represented a major advertising holding company in its minority investments in a brand acquisition and development company and a virtual world marketing business.
  • Represented a major advertising holding company in structuring incentive compensation programs for select key employees of its agencies through the use of profits interests.
  • Represented a transportation services company in obtaining over $50 million in new equity investment and refinancing its existing $200 million credit facilities.
  • Represented a designer/manufacturer of home products in an exclusive co-branded product development deal with a major national retail chain.
  • Represented a designer/manufacturer of fashion eyewear with trademark licensing deals with well-known fashion designers and brands.
  • Represented a sports memorabilia dealer in negotiating game used memorabilia sourcing deals with several professional sports teams and major universities.
  • Represented a start-up consumer products company in its formation and Series A round of financing.
  • Represented two portfolio managers in the negotiation of their compensation arrangements with the management company for a multibillion dollar family investment portfolio.
  • Represented a digital multimedia imaging company in the sale of a minority investment stake to a major media publisher.
