Curt C. Myers is co-chair of the Corporate Practice Group of Davis & Gilbert. He is involved in all aspects of the firm’s corporate practice, including mergers and acquisitions, financings, employment agreements and general commercial matters. Mr. Myers regularly participates in the structuring and negotiation of acquisitions, investments, joint ventures and divestitures for clients in the advertising, marketing and communications industries, including WPP Group plc, J. Walter Thompson, Millward Brown, Grey Advertising, The Kantar Group, Ogilvy & Mather, Young & Rubicam, Group M Worldwide, CommonHealth and Hill & Knowlton. He has also negotiated numerous senior executive employment contracts, non-competition agreements and separation agreements for both employers and executives in a variety of industries.

Mr. Myers was recognized by The Legal 500 U.S. in 2013 and 2014 in the area of mergers, acquisitions and buyouts – M&A: middle market (sub-$500m).

REPRESENTATIVE ENGAGEMENTS

  • Represented WPP plc in its acquisition of 24/7 Real Media, Inc, valued at approximately $650 million. 
  • Represented WPP Digital, in the acquisition of 100% of the issued and outstanding capital stock of Schematic, Inc. (now Possible Worldwide).
  • Represented WPP plc and its affiliate, Wunderman Worldwide, in the acquisition of 100% of the issued and outstanding capital stock of Blast Radius Inc., a Canadian corporation based in Vancouver, British Columbia with operations in the United States and Europe. 
  • Represented WPP plc in its acquisition of Young & Rubicam Group, including Y&R Advertising, Burson-Marsteller, Landor, Wunderman, Cohn & Wolfe and Sudler & Hennessey for $4.5 billion -- the largest advertising industry transaction to date.
  • Represented WPP plc in the acquisition of Penn, Schoen and Berland, a prominent Washington-based public relations and polling firm.
  • Represented Hawkeye Communications a national integrated marketing services business in the restructuring and refinancing of its business.
  • Represented The Intrapac Group in the sale of its U.S. based aluminum tube manufacturing operations to Montebello Packaging, Inc.
  • Represented the owners of dodgeball.com, a social networking service, in the sale of their business to Google Inc.
  • Represented Hawkeye Communications, a national integrated marketing services business, in the restructuring of its debt obligations and equity arrangements.
